ACQUISITION OF SECURITIES OF ATMOFIZER TECHNOLOGIES INC.

On July 22, 2026, 1000516271 Ontario Inc. (the acquiror) acquired direct ownership of 2.8 million common shares of Atmofizer Technologies Inc. at a deemed price of five cents per common share for aggregate consideration of $140,000. The common shares were issued in full and final settlement of indebtedness owed by the company to the acquiror pursuant to a shares-for-debt agreement dated July 22, 2026.

Prior to the acquisition, the acquiror did not beneficially own or exercise control or direction over any equity securities of the company. After giving effect to the acquisition, the acquiror beneficially owns or controls an aggregate of 2.8 million common shares, representing approximately 15.9 per cent of the issued and outstanding common shares.

The common shares were acquired in settlement of indebtedness owed by the company to the acquiror and are being held for investment purposes. The acquiror may, from time to time, increase or decrease its ownership or control of securities of the company as it may determine appropriate based on market conditions, investment opportunities and other relevant factors.
