DARK STAR ANNOUNCES CLOSING OF FINAL TRANCHE OF NON-BROKERED PRIVATE PLACEMENT AND OPTION GRANT

Dark Star Minerals Inc., further to its news releases of Sept. 9, 2025, and Sept. 19, 2025, has closed the final tranche of its previously announced non-brokered private placement, pursuant to which it has issued five million units at a price of five cents per unit for aggregate gross proceeds of $250,000. The company issued an aggregate of 7.05 million units for aggregate proceeds of $352,500 from the initial tranche and final tranche.

Each unit consists of one common share and one-half of one common share purchase warrant. Each warrant entitles the holder thereof to acquire one share at a price of 7.5 cents per warrant share for a period of two years following closing. Proceeds of the final tranche will be used for general working capital.

In connection with the closing of the final tranche, the company paid an aggregate cash finders' fees of $4,800 and issued 96,000 finders' warrants to certain eligible finders in connection with the final tranche. Each finder's warrant entitles the holder thereof to acquire one share at a price of 7.5 cents per finder's warrant share until Oct. 24, 2027.

All securities issued in connection with the final tranche are subject to a statutory hold period expiring four months and one day from the date of issue.

Grant of stock options

The company would like to announce the grant of an aggregate of three million options to purchase shares to certain directors, officers and consultants of Dark Star.

Each option is exercisable at an exercise price of five cents per share and vested immediately upon the date of grant, and are exercisable for a three-year term. All options are subject to the four-month exchange hold period.

The grant of the options is subject to acceptance by the Canadian Securities Exchange.
