Effective at the close of business on Tuesday, Dec. 23, 2025, the common shares of Mines D'or Orbec Inc. will be delisted from the TSX Venture Exchange. The delisting of Mines D'or Orbec shares results from the completion of a court-approved plan of arrangement under the provisions of the Business Corporations Act (Ontario) with Iamgold Corp.

As a result of the completion of the arrangement, Iamgold acquired all of the issued and outstanding common shares in the capital of Mines D'or Orbec. Under the terms of the arrangement, each Mines D'or Orbec share received a total consideration representing a value of 12.5 cents per Mines D'or Orbec share, which consists of an aggregate of: (i) 0.003466 of a common share of Iamgold; and (ii) 6.25 cents per Mines D'or Orbec share.

The exchange has been advised that approval of the arrangement by Mines D'or Orbec shareholders was received at a special meeting of shareholders held on Dec. 15, 2025, and that a final order approving the arrangement was issued by the Ontario Superior Court of Justice (Commercial List) on Dec. 18, 2025. The arrangement became effective on Dec. 22, 2025.
