Purchase price:   15 cents per share

Warrants:  1,000,333 share purchase warrants to purchase 1,000,333 shares

Warrant exercise price:  25 cents for a two-year period

Number of placees:  five placees

Aggregate pro group involvement:  two groups, 1.1 million shares
