The TSX Venture Exchange has accepted for filing documentation relating to a mineral property purchase and sale agreement dated Jan. 5, 2026, to the property option agreement dated Feb. 21, 2018, as amended on Sept. 22, 2020, and Feb. 24, 2021, between the company and a non-arm's-length party (the vendor). Pursuant to the agreement, the company may acquire a 100-per-cent legal and beneficial interest in the Shag property, a zinc-lead-silver mineral claims located in the Golden mining district of British Columbia. In consideration, the company will issue 666,667 shares (postconsolidation) to the vendor. The property remains subject to a 3-per-cent net smelter return royalty in favour of the vendor. The issuer retains the right to purchase 50 per cent of this royalty for $1-million at any time within six months following the commencement of commercial production.
