Dr. Shaun Passley of ZenaTech reports
ZENATECH INADVERTENTLY FILES EARLY WARNING REPORT PURSUANT TO NATIONAL INSTRUMENT 61-103
ZenaTech Inc. has filed a press release and early warning report on April 13, 2026, stating that (i) effective April 13, 2026, it has acquired an aggregate of 6,744,000 common shares of Boardwalktech Software Corp. (the issuer) at prices ranging from 3.5 cents to five cents per share over the TSX Venture Exchange representing approximately 9.59 per cent of the outstanding common shares of the issuer, (ii) during the same period, Dr. Shaun Passley, the chief executive officer of the acquiror, acquired an aggregate of 500,000 common shares of the issuer at prices ranging from 3.5 cents to five cents per share over the TSX Venture Exchange representing approximately 0.71 per cent of the outstanding common shares of the issuer and (iii) together, the acquiror and Dr. Passley hold approximately 7,244,000 common shares of the issuer representing approximately 10.3 per cent of the issued and outstanding common shares of the issuer.
The number of shares used to calculate the percentage interests of ZenaTech, Dr. Passley and ZenaTech on a combined basis inadvertently did not take into account a private placement recently completed by the issuer. As a result, the number of shares owned by ZenaTech, Dr. Passley and ZenaTech on a combined basis represents less than 10 per cent of the issued and outstanding common shares of the issuer. Accordingly, ZenaTech and Dr. Passley are not obligated to file an early warning report or press release in that regard.
A copy of an amended early warning report in that regard will be filed by ZenaTech under applicable securities laws shall be available under the Issuer's profile on SEDAR+.
