CARRIER CONNECT DATA SOLUTIONS INC. INCREASES PREVIOUSLY ANNOUNCED PRIVATE PLACEMENT OF UNITS TO UP TO $10.5 MILLION
Carrier Connect Data Solutions Inc. has agreed to increase its previously announced commercially reasonable effort private placement co-led by Canaccord Genuity Corp. and Beacon Securities Ltd. The upsized offering will consist of up to 6,562,500 units of the company at a price of $1.60 per unit for aggregate gross proceeds to the company of up to $10.5-million.
Each unit shall consist of one common share of the company and one-half of one common share purchase warrant. Each warrant shall be exercisable into one common share of the company for a period of 24 months from the closing date (as herein defined) at an exercise price of $2.10 per warrant share, subject to adjustment in certain events.
Subject to compliance with applicable regulatory requirements and in accordance with National Instrument 45-106 (Prospectus Exemptions), the units will be offered for sale to purchasers resident in Canada pursuant to the listed issuer financing exemption under Part 5A of NI 45-106, as amended and supplemented by Coordinated Blanket Order 45-935 (Exemptions from Certain Conditions of the Listed Issuer Financing Exemption), and to investors in other jurisdictions. The units issued to subscribers in the offering will not be subject to a hold period pursuant to applicable Canadian securities laws.
The company intends to use the net proceeds from the offering for acquisitions, debt repayment, capital improvement and data centre expansions, marketing and staffing, and general corporate purposes and working capital.
There is an amended and restated offering document dated Feb. 18, 2026, related to the offering that can be accessed under the company's profile on SEDAR+ and on the company's website. Prospective investors should read this offering document before making an investment decision.
The offering is expected to close on or about Feb. 26, 2026, and is subject to the company receiving all necessary regulatory approvals, including the conditional acceptance of the TSX Venture Exchange.
