CCL enters automatic securities purchase plan

2026-02-26 11:58 ET - News Release

Mr. Sean Washchuk reports

CCL INDUSTRIES INC. ENTERS INTO AUTOMATIC SECURITIES PURCHASE PLAN

CCL Industries Inc. has entered into an automatic securities purchase plan (ASPP) with a designated broker in order to facilitate purchases of the company's Class B non-voting shares under its previously announced normal course issuer bid. The ASPP will be implemented effective March 2, 2026.

The company previously announced that it had received approval from the Toronto Stock Exchange (TSX) to acquire up to 14.45 million of its Class B non-voting shares, representing approximately 9.95 per cent of the public float of the Class B non-voting shares as of May 13, 2025, through the facilities of and in accordance with the rules of the TSX during the 12-month period commencing May 26, 2025, and ending May 25, 2026.

The ASPP is intended to allow for the purchase of Class B non-voting shares under the bid during predetermined times when the company would ordinarily not be permitted to purchase shares due to customary blackout periods.

Purchases under the ASPP will be made by the company's broker based upon parameters set by the company when it is not in possession of any material non-public information about itself and its securities, and in accordance with the terms of the ASPP. Outside of predetermined blackout periods, Class B non-voting shares may be purchased under the bid based on management's discretion, in compliance with TSX rules and applicable securities laws. All purchases made under the ASPP will be included in computing the number of shares purchased under the bid. As of the date hereof, the company has purchased 2,050,343 Class B non-voting shares under the bid.
