CLEANGO CLOSES NON-BROKERED PRIVATE PLACEMENT

Further to the news release dated Aug. 12, 2026, Cleango Innovations Inc. has closed its non-brokered private placement of 934,696 units of the company at a price of 77 cents per unit for aggregate gross proceeds of $719,716.80.

Each unit consists of one common share in the capital of the company and one-half of one transferable common share purchase warrant. Each warrant entitles the holder to acquire one additional share at an exercise price of 85 cents per share for a period of two years from the date of issuance.

The company intends to use the net proceeds of the offering for general working capital and corporate purposes.

All securities issued under the offering are subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable Canadian securities laws. The offering remains subject to final approval by the Canadian Securities Exchange.
