KARAN PAL SINGH ANNOUNCES AN INCREASE IN HIS OWNERSHIP OF THE COMMON SHARES OF COMPREHENSIVE HEALTHCARE SYSTEMS INC.

On Feb. 27, 2025, and on March 7, 2025, Karan Pal Singh (the acquiror), a controlling shareholder of Comprehensive Healthcare Systems Inc., through the company Nameh Hotels & Resorts Private Ltd. (NHRPL), acquired ownership of 45.67 million shares (2,283,500 postconsolidated shares) at one cent per share (20 cents per postconsolidated share) pursuant to the closing of a non-brokered private placement carried out by the company, for a total cash purchase price of $456,700. On Feb. 12, 2026, 45.67 million shares held by NHRPL were reregistered in the name of the acquiror directly.

Prior to the aforementioned acquisition of shares pursuant to the private placement, the acquiror and Himangini Singh, as joint actor in previous transactions together, through NHRPL, held 17,459,965 shares (872,998 shares postconsolidated) indirectly, nil common share purchase warrants and nil stock options, and the acquiror's and Ms. Singh's non-diluted shareholdings represented approximately 14.08 per cent of the company's issued and outstanding shares.

As a result of the acquisition of shares pursuant to the private placement, as at the end of March, 2025, the acquiror and Ms. Singh, through NHRPL, hold a total of 63,129,965 shares (3,156,498 shares postconsolidated), nil warrants and nil options, and the acquiror's and Ms. Singh's non-diluted shareholdings represent approximately 25.45 per cent of the company's issued and outstanding shares.
