CANADA ONE ANNOUNCES UP TO $750,000 PRIVATE PLACEMENT

Canada One Mining Corp. has arranged a non-brokered private placement consisting of up to 50 million units of the company at a price of 1.5 cents per unit. Each unit will consist of one common share in the capital of the company and one whole common share purchase warrant. Each warrant will be exercisable into one common share at a price of five cents per warrant share for a period of three years after the closing date of the private placement. If, at any time following the date that is four months and one day following the closing date, the common shares have a closing price on the TSX Venture Exchange of eight cents or greater per common share for a period of five consecutive trading days, the company shall have the right to accelerate the expiry date of the warrants that is at least 60 days following the date of such notice to holders of warrants.

The company intends to use the net proceeds of the private placement to finance its exploration and development of the company's properties, extinguish liabilities and payables, and for general administrative and working capital expenses.

The company may pay finders' fees as permitted by the policies of the TSX-V and applicable securities laws.

The private placement is expected to close on or about May 26, 2024, subject to customary closing conditions, including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX-V.
