CARSON RIVER CLOSES PRIVATE PLACEMENT

Carson River Ventures Corp. has completed a non-brokered private placement by issuing an aggregate of 10.9 million units at a price of six cents per unit for gross proceeds of approximately $654,000.

Each unit comprises one common share in the capital of the company and one-half of a non-transferable share purchase warrant, whereby each whole warrant entitles the holder to purchase one additional share for a period of 24 months from the date of issuance at an exercise price of 10 cents per additional share.

Proceeds from the private placement will be used primarily for working capital, current properties and potential new properties.

In connection with the closing of the private placement, the company paid cash finders' fees in the aggregate amount of $13,866. No securities were paid to any finders in connection with the private placement.

All securities issued in connection with the private placement are subject to a statutory four-month hold period in accordance with applicable securities legislation expiring Dec. 1, 2023.
