The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 14, 2022.

Number of shares:  11 million shares

Purchase price:  10 cents per share

Warrants:  5.5 million share purchase warrants to purchase 5.5 million shares

Warrant exercise price:  15 cents for a five-year period

Number of placees:  22 placees

Aggregate existing insider involvement:  one placee, 684,350 shares

Finder's fee:  $9,100, 91,000 warrants

Finder's warrants terms:  Each warrant entitles the holder to purchase one common share at the price of 15 cents for period of five years from the date of issuance.

The company issued a news release on Dec. 28, 2022, confirming the closing of the private placement.
