CORPORATE UPDATE

Clean Seed Capital Group Ltd. has restructured an accounts payable of $420,371, whereby $15,000 was paid on settlement, $175,000 will be payable on June 30, 2027, and the balance of $230,371 will be written off by the creditor.

There were no securities, or any other direct or indirect compensation, issued by the company in connection with the settlement. The restructured accounts payable is non-interest bearing and is not secured. The accounts payable is with an arm's-length party for historical legal services provided.

Repayment of the $175,000 payable shall be accelerated upon the company raising gross proceeds from financings as follows: $87,500 upon raising an aggregate of $3-million; $117,500 upon raising an aggregate of $4-million; $147,500 upon raising an aggregate of $5-million; and the full balance of $175,000 upon raising an aggregate of $6-million.
