PRESS RELEASE FOR EARLY WARNING REPORT REGARDING CRITICAL
INFRASTRUCTURE TECHNOLOGIES LTD.

Kenneth Hill, the chief technology officer and a director of Critical Infrastructure
Technologies Ltd., acquired 500,000 units of Critical Infrastructure Technologies, comprising 500,000 common
shares of Critical Infrastructure Technologies and 500,000 common share purchase warrants at a
deemed price of eight cents per unit pursuant to a shares-for-debt transaction whereby Critical Infrastructure Technologies settled
outstanding indebtedness of $40,000 owed to Mr. Hill.
Immediately prior to the debt settlement, Mr. Hill held 10,389,941 shares and 1.25 million incentive
stock options exercisable into common shares and two million warrants,
representing approximately 8.3 per cent of the then-issued-and-outstanding shares on a non-diluted
basis.
Following completion of the debt settlement, Mr. Hill holds 10,889,941 shares (including 500,000
shares acquired hereunder and forming part of the units) and 500,000 warrants acquired
hereunder and forming part of the units), representing approximately 7.1 per cent of the current issued
and outstanding shares on a non-diluted basis. Upon exercise of the options and warrants, Mr. Hill
would hold 14,139,941 shares on a fully diluted basis.
As a result of the debt settlement, the securityholding percentage of Mr. Hill decreased by
approximately 1.2 per cent in respect of the shares on a non-diluted basis and increased by
approximately 1.9 per cent on a diluted basis.
Mr.
Hill acquired the units for investment purposes. Mr. Hill may, depending on market and other
conditions, increase or decrease its ownership of the company's securities, whether in the open
market, by privately negotiated agreements or otherwise, subject to a number of factors, including
general market conditions and other available investment and business opportunities.
The disclosure respecting Mr. Hill's securityholdings of the company contained in this news release
is made pursuant to Multilateral Instrument 62-104, Take-Over Bids and Issuer Bids, and a report
