COMPASS VENTURE ANNOUNCES RESULTS OF 2024 ANNUAL GENERAL MEETING

July 12, 2024 Vancouver, British Columbia Compass Venture Inc. (the "Company" or "Compass") announces that all matters submitted to shareholders for approval as set out in detail in the Company's management information circular ("Circular") dated May 13, 2024 were approved at the annual general meeting of the shareholders of the Company held on June 26, 2024 (the "Meeting"). At the Meeting, Manning Elliott LLP was appointed as the auditor of the Company and the incumbent members of the board of directors, being Dr. Kah Meng Lim, Joshua Siow and Patricia Chow were elected.

In addition to the above, ordinary resolutions of the shareholders were also passed at the Meeting to (i) approve the amendments of the Company's stock option plan in order to comply with the new policies of the TSX Venture Exchange and (ii) approve the adoption of an RSU plan.

The Company is a capital pool company pursuant to Policy 2.4 of the Exchange.
