COMPASS VENTURE PROVIDES UPDATED REGARDING DEFINITIVE AGREEMENT TO ACQUIRE CANNIOASIS PTE. LTD.

Further to Compass Venture Inc.'s press releases dated Oct. 18, 2024, the company and CanniOasis Pte. Ltd. have entered into an amendment agreement to amend the terms of the master exchange agreement dated Oct. 15, 2024, entered into between the company, CanniOasis and all of the shareholders of CanniOasis.

Pursuant to the amendment agreement, the outside date for the proposed transaction contemplated in the master exchange agreement has been extended to Oct. 31, 2025. All other material terms of the master exchange agreement remain unchanged.
