DELPHX PROVIDES UPDATE TO CLOSING OF PRIVATE PLACEMENTS

Delphx Capital Markets Inc., further to its news release dated Aug. 10, 2026, would like to provide additional clarification regarding two separate private placements completed by the company.

The first private placement closed on June 30, 2026, pursuant to which the company issued two million units at a subscription price of two cents per unit for gross proceeds of $40,000. Each unit consists of one common share and one common share purchase warrant. Each warrant entitles the holder to purchase one common share at a price of six cents for a period of two years from the date of issuance.

The second private placement closed on Aug. 5, 2026, pursuant to which the company issued 8.5 million units at a subscription price of one cent per unit for gross proceeds of $85,000. Each unit consists of one common share and one warrant. Each warrant entitles the holder to purchase one common share at a price of six cents for a period of two years from the date of issuance.

An insider participated in the second offering, subscribing for 1.5 million units, and as a result, the second offering is considered a related party transaction within the meaning of Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions, and TSX Venture Exchange Policy 5.9, Protection of Minority Security Holders in Special Transactions. The company relied on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101 in respect of the related party participation, as neither the fair market value of the securities issued to the insider nor the cash consideration paid for such securities exceeded 25 per cent of the company's market capitalization. A material change report was not filed more than 21 days prior to closing of the second offering as the participation of the insider in the second offering and the extent of such participation were not finalized until shortly prior to completion of the second offering.

In connection with the second offering, the company paid cash finders' fees of $700 and issued 70,000 finders' warrants to Canaccord Genuity ITF (in trust for) Rick Langer, an eligible finder. Each finder's warrant is exercisable to acquire one common share at a price of six cents for a period of two years from the date of issuance.

The net proceeds from the first offering and the second offering were used for general corporate and working capital purposes. No proceeds were used to make payments to non-arm's-length parties of the company, other than payments made in the ordinary course of business, and no proceeds were used to make payments to persons conducting investor relations activities. There were no other specific uses of proceeds representing 10 per cent or more of the aggregate gross proceeds of the first offering or the second offering.

Final acceptance of both private placements is subject to the approval of the TSX Venture Exchange. The securities issued pursuant to both private placements are subject to a hold period of four months plus one day from the applicable date of issuance in accordance with applicable securities laws.
