DISTRICT MINES PROVIDES CORPORATE UPDATE

District Mines Ltd. has provided an update on its recent entries into two promissory notes.

The company entered into a non-interest-bearing, unsecured promissory note dated Jan. 21, 2026, with E Squared Capital Ltd., pursuant to which E Squared provided a loan in the amount of $150,000 to the company.

The E Square loan is an arm's-length transaction. No finder's fee, commission or other compensation is payable in connection with the E Square loan.

The company further announces that it entered into a 10-per-cent-bearing, unsecured promissory note dated June 16, 2026, with Dustin Kinch, a director of the company, pursuant to which Mr. Kinch provided loan in the amount of $250,000 to the company.

The Mr. Kinch loan is a non-arm's-length transaction since Mr. Kinch is a director of the company. No finder's fee, commission or other compensation is payable in connection with the Mr. Kinch loan.

Both of the loans are being used by the company for general working capital.
