The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 30, 2023.

Number of shares:  6,263,112 flow-through (FT) shares

Purchase price:  13 cents FT per share

Warrants:  3,131,556 share purchase warrants to purchase 3,131,556 non-flow-through shares

Warrant exercise price:  20 cents for a three-year period

Number of placees:  13 placees

Total pro group involvement:  615,800 (two pro groups)

Finder's fee:  $44,952.28 cash and 345,787 warrants

Finder's warrant terms:  246,508 warrants, each entitling the holder to purchase one common share at the price of 20 cents for a three-year period from the date of issuance; 99,279 warrants, each entitling the holder to purchase one common share at the price of 13 cents for a three-year period from the date of issuance

The company issued a news release on Aug. 17, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
