The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on March 4, 2024.

Number of shares:  4,666,667 flow-through common shares; 1,705,000 premium flow-through common shares

Purchase price:  75 cents per flow-through common share; 95 cents per premium flow-through common share

Number of placees:  12 placees

Agents' fees:  PowerOne Capital Markets Ltd. and Clarus Securities Inc. will receive total cash commissions equal to $358,382.52 and 446,017 agents' warrants. Each agent's warrant entitles the holder to purchase one common share at a price of 75 cents for a period of two years from the date of issuance.
