DAVID ANDREWS RESIGNS AS DIRECTOR & 150,000 OPTIONS GRANTED

David F. Andrews has resigned as a director of Earthworks Industries Inc. Mr. Andrews has contributed greatly to the company's development both as a major investor and since his appointment as a director in 1992.

David Atkinson, president and chief executive officer of the company, commented: "David Andrews has contributed greatly to the advancement of Earthworks Industries Inc. over the decades that he has served the company as a director. I wish him well in his retirement."

Options to purchase 150,000 shares of the company have been granted to a director and officer. The options will be exercisable at 35 cents per share during their term ending Jan. 23, 2026.
