SHARE FOR DEBT AGREEMENT APPROVED

Earthworks Industries Inc. (the "Company") reports that TSX Venture Exchange has accepted the shares for debt agreement and issuance of 13,146,057 common shares, as disclosed in the Company's news releases dated Nov. 20, 2025, Jan. 22, 2026, and March 17, 2026, extinguishing the debt. The shares will have a 4-month hold period.
