FORACO ANNOUNCES NORMAL COURSE ISSUER BID

The Toronto Stock Exchange (the TSX) has accepted for filing Foraco International SA's notice in respect of a normal course issuer bid (the NCIB) to be transacted through the facilities of the TSX and/or other designated exchanges and/or through other permitted means, including through one or more alternative Canadian trading systems. In connection with the NCIB, the company has entered an automatic share purchase plan with its designated broker to allow for purchases of its common shares.

Pursuant to the NCIB, Foraco may purchase up to one million of its shares representing approximately 1 per cent of the total 99,251,798 shares of the company issued and outstanding as of Sept. 17, 2026. Purchases will be made at prevailing market prices commencing Sept. 28, 2026, and ending Sept. 27, 2027. Pursuant to TSX policies, daily purchases will not exceed 45,868 common shares, other than block purchase exceptions.

In the previous NCIB that commenced Sept. 15, 2025 (prior NCIB), Foraco sought and obtained approval from the TSX to purchase one million of its common shares. Foraco's prior NCIB expired on Sept. 14, 2026. The company purchased 729,600 shares from Sept. 15, 2025, to Sept. 14, 2026, and the average weighted price of the shares purchased was $2.56. The securities were repurchased through the TSX and through alternative Canadian trading systems. The average daily trading volume for the six-month period ended Aug. 31, 2026, was 183,475 shares.

The company has engaged Desjardins Capital Markets to act as its designated broker to purchase shares in connection with the NCIB. During the term of the Desjardins Engagement, the company will not communicate any material undisclosed information to the trading staff at Desjardins, and accordingly Desjardins may make purchases regardless of whether a blackout period is in effect or whether there is material undisclosed information about the company at the time purchases are made.

The company currently holds a sufficient number of shares in treasury to more than cover its anticipated obligations under its employee incentive share plan for the coming year. Accordingly, the company intends to prioritize purchases under the NCIB as a means of returning value to shareholders. shares purchased under the NCIB may be cancelled or held in treasury, depending on the company's future requirements and capital allocation priorities.
