FULL CIRCLE LITHIUM ANNOUNCES EXTENSION OF CURRENT PRIVATE PLACEMENT

Full Circle Lithium Corp., further to its news releases of July 15, 2026, and June 19, 2026, has received an extension from the TSX Venture Exchange with respect to the final acceptance date of its previously announced private placement offering of units.

The outside date for the final closing and filing acceptance of all final documentation required by the TSX Venture Exchange in respect of the offering has been extended from Aug. 3, 2026, to Aug. 14, 2026.

The terms of the offering and the units shall otherwise remain the same, and the offering remains subject to certain conditions, including, but not limited to, the receipt of all necessary regulatory and other approvals, including the final approval of the TSX-V on or before the extension date. Security-based compensation plans

The company also wishes to provide additional disclosure regarding its amended incentive stock option plan and the new restricted share unit (RSU) plan approved by shareholders on May 19, 2026, as announced on May 26, 2026. The option plan and RSU plan together comprise a fixed security based compensation plan, under which a combined total of 19,761,037 common shares may be reserved for issuance (representing 20 per cent of the issued and outstanding common shares at the time of adoption).
