Plan of arrangement

TSX Venture Exchange has accepted for filing an arrangement agreement dated Feb. 11, 2026, between Fokus Mining Corp. and an arm's-length third party, pursuant to which the purchaser acquired all of the issued and outstanding common shares of the company by way of a court-approved plan of arrangement under the provisions of the Canada Business Corporations Act.

The company's shareholders approved the arrangement at a special meeting held on April 13, 2026. The Superior Court of Quebec approved the arrangement on April 17, 2026. The arrangement closed on April 22, 2026, with shareholders of the company (other than rollover shareholders) entitled to receive 26 cents per share in cash upon filing of a duly completed and executed letter of transmittal, along with the accompanying certificate or DRS advice representing the common shares, if applicable, and such additional documents and instruments as the depositary may reasonably require.

Certain company's shareholders, including all of the company's directors and officers, have entered into rollover agreements with the purchaser, pursuant to which they have agreed to transfer their shares to the purchaser in exchange for shares of the purchaser. All rollovers will occur at an equivalent value as the cash purchase price of 26 cents per share.

Delisting

In connection with the completion of the arrangement and effective at the close of business on Friday, April 24, 2026, the common shares of the company will be delisted from the TSX Venture Exchange at the request of the company.
