49 NORTH RESOURCES INC. ANNOUNCES THE RESULTS OF ITS ANNUAL AND SPECIAL MEETING OF SHAREHOLDERS

SASKATOON, SASKATCHEWAN - July 24, 2026 - 49 North Resources Inc. ("49 North" or the "Company") (TSXV: FNR) is pleased to announce the results of its Annual and Special Meeting of Shareholders held on July 22, 2026 (the "Meeting").

At the Meeting, shareholders elected Tom MacNeill, Andrew Davidson, Andrew Cook and Sylvain Laberge as directors of the Company. Shareholders also re-appointed Kenway Mack Slusarchuk Stewart LLP as auditors of the Company and authorized the directors to fix their remuneration, approved the continuation of the Company's stock option plan, and approved a special resolution authorizing a consolidation of the Company's issued and outstanding common shares on the basis of up to ten (10) pre-consolidation common shares for one (1) post-consolidation common share.

The Company is not proceeding with a share consolidation at this time. The Board of Directors and management will determine the necessity (including whether a consolidation is needed at all) and timing of any future consolidation.

The shareholders of the Company showed strong support for the matters brought before the Meeting, with all resolutions passing with support of at least 98% of the votes cast. The Company is proceeding to apply for TSX Venture Exchange acceptance of the stock option plan.
