FREQUENCY EXCHANGE ANNOUNCES CHANGE OF AUDITOR

At the request of Frequency Exchange Corp., MNP LLP has resigned as the auditor of the company, effective Oct. 6, 2025. The company has appointed Dale Matheson Carr-Hilton Labonte LLP as auditor for the company effective Oct. 6, 2025.

The company's board of directors and audit committee each approved the change of auditor. There were no reservations in the former auditor's audit reports for any financial period during which the former auditor was the company's auditor, nor were there any reportable events (as the term is defined in National Instrument 51-102, Continuous Disclosure Obligations) between the company and the former auditor.

In accordance with National Instrument 51-102, the notice of change of auditor, together with the required letters from the former auditor and successor auditor, has been reviewed by the company's board of directors and audit committee and has been filed on SEDAR+ accordingly.
