GAMMA RESOURCES ANNOUNCES EXTENSION OF PRIVATE PLACEMENT CLOSING DATE
Further to the news releases of July 31, 2026, Aug. 27, 2026, and Aug. 28, 2026, regarding Gamma Resources Ltd.'s non-brokered private placement, the TSX Venture Exchange has consented to an extension of the final closing date of the private placement. The company anticipates closing the final tranche of the private placement on or before Sept. 30, 2026.
The private placement will consist of up to 21,875,000 units at a purchase price of eight cents per unit for gross proceeds of up to $1.75-million. Each unit will consist of one common share in the capital of the company and one non-transferable common share purchase warrant. Each warrant will entitle the holder to acquire one additional common share at an exercise price of 12 cents for a period of 36 months following the closing of the private placement. The completion of the first tranche and the subsequent final tranche of the private placement is subject to the acceptance of the TSX Venture Exchange.
Directors of the company are expected to participate in the second tranche. Such participation is considered to be a related-party transaction as defined in Multilateral Instrument 61-101 (Protection of Minority Security Holders in Special Transactions). The offering will be exempt from the formal valuation and minority shareholder approval requirements of 61-101 as neither the fair market value of the securities issued to related parties, nor the consideration for such securities will exceed 25 per cent of the company's market capitalization.
All securities issued in connection with the private placement will be subject to a four-month-plus-one-day hold period from the closing date, pursuant to applicable securities laws and the policies of the TSX Venture Exchange.
Use of proceeds
The company intends to use the net proceeds of the private placement to continue exploration at its Mesa Arc project in New Mexico and its Green River project in Utah, and for general working capital and corporate purposes.
