EARLY WARNING NEWS RELEASE ISSUED PURSUANT TO NI 62-103

ACQUISITION OF SHARES OF GOLCAP RESOURCES CORP.

Vancouver, B.C. - July 4, 2025 - This news release is being disseminated by Mineral Road Partners Inc., a private company controlled by Damien Reynolds (the "Purchaser") pursuant to National Instrument 62-103, The Early Warning System and Related Take-Over Bid and Insider Reporting Issues, in connection with the acquisition of certain common shares (the "Common Shares") of Golcap Resources Corp. (the "Issuer"), a British Columbia corporation whose common shares (the "Common Shares") are listed for trading on the Canadian Securities Exchange under the symbol "GCP".

On July 4, 2025, the Purchaser acquired in the open market 2,485,000 shares of the Issuer at a price of $0.06 per share for proceeds of $149,100. This transaction represents an increase of 9.90% in the Purchaser's total security holding percentage in the issued and outstanding Common Shares of the Issuer.

Prior to the Transaction the Purchaser owned and controlled 6,215,500 Common Shares of the Issuer representing 24.77% of the then issued and outstanding Common Shares of the Issuer and 500,000 warrants of the Issuer based on a total of 25,092,334 Common Shares outstanding, or 6,715,500 Common Shares of the Issuer representing 26.24% of the outstanding shares assuming exercise of the warrants held by the Purchaser.

Subsequent to the Transaction the Purchaser owned and controlled 8,700,500 Common Shares of the Issuer representing 34.67% of the then issued and outstanding Common Shares of the Issuer and 500,000 warrants of the Issuer based on a total of 25,092,334 Common Shares outstanding or 35.95% of the outstanding shares assuming exercise of the warrants held by the Purchaser.

A copy of the early warning report dated July 4, 2025 to be filed by the Purchaser in connection with the acquisition of the Common Shares of the Issuer will be available on SEDAR at www.sedar.com under the Issuer's profile.
