EARLY WARNING NEWS RELEASE ISSUED PURSUANT TO NI 62-103 ACQUISITION OF UNITS OF GOLDEN AGE EXPLORATION LTD.
This news release is being disseminated by Tibor Gajdics pursuant to National Instrument 62-103, The Early Warning System and Related Take-Over Bid and Insider Reporting Issues, in connection with the acquisition of certain units of Golden Age Exploration Ltd., a British Columbia corporation, the common shares of which are listed for trading on the Canadian Securities Exchange under the symbol GDN.
On Jan. 21, 2026, the purchaser, indirectly through 655992 B.C. Ltd., a private company controlled by the purchaser, acquired one million units at a price of five cents per unit for total consideration of $50,000 in a private placement. Each warrant consists of one common share and one share purchase warrant exercisable at a price of 6.5 cents for a period of two years from issuance.
This transaction represents an increase of 2.85 per cent in the purchaser's securityholding percentage in the issued and outstanding common shares of the issuer.
Prior to the transaction, the purchaser owned and controlled 1,077,081 common shares of the issuer, representing 10.46 per cent of the then issued and outstanding common shares of the issuer, and 200,000 stock options of the issuer, based on a total of 10,300,001 common shares outstanding, or 1,277,081 common shares of the issuer, representing 12.16 per cent of the outstanding shares assuming exercise of the options held by the purchaser.
Subsequent to the transaction, the purchaser owned and controlled 2,077,081 common shares of the issuer, representing 13.31 per cent of the then issued and outstanding common shares, one million warrants and 200,000 stock options of the issuer, based on a total of 15,600,001 common shares outstanding, or 3,277,081 common shares of the issuer, representing 19.51 per cent of the outstanding shares assuming exercise of the warrants and options held by the purchaser.
A copy of the early warning report dated Jan. 22, 2026, to be filed by the purchaser in connection with the acquisition of the common shares of the issuer will be available on SEDAR+ under the issuer's profile.
