GOGOLD ANNOUNCES FILING OF FINAL SHORT FORM PROSPECTUS

Further to the news release dated March 19, 2025, GoGold Resources Inc. has filed a final short form prospectus dated April 1, 2025, with the securities commissions in each of the provinces of Canada, except Quebec, pursuant to its $75,002,200 bought deal public offering of common shares at $1.82 per common share through a syndicate of underwriters including BMO Capital Markets and Stifel Nicolaus Canada Inc. as lead underwriters and joint bookrunners, and SCP Resource Finance LP, Ventum Financial Corp. and Desjardins Securities Inc. The company has granted the underwriters an option to purchase an additional 6,181,500 common shares of the company on the same terms exercisable at any time up to 30 days following the closing of the offering for market stabilization purposes and to cover overallotments, if any. If the overallotment option is exercised in full, an additional $11,250,330 in gross proceeds will be raised pursuant to the offering, and the aggregate gross proceeds the offering will be $86,252,530.

Closing of the offering is expected to occur on or about April 4, 2025. The Toronto Stock Exchange has conditionally approved the offering and the listing of the common shares to be issued pursuant to the offering (including any exercise of the overallotment option), subject to customary conditions.
