("Blizzard") announces that on April 6, 2023 it acquired 2,000,000 units of securities of Goldbank Mining Corporation ("Goldbank") at a price of $0.05 per unit for a total consideration of $100,000 pursuant to a non-brokered private placement offering. Each unit is comprised of one common share and one share purchase warrant, with each warrant entitling the holder to purchase one additional common share of Goldbank for five years at a price of $0.065 per share. Blizzard's participation in the private placement decreased the percentage of Goldbank's issued and outstanding number of shares held by Blizzard by approximately 0.91% on a non-diluted basis and decreased the percentage by approximately 0.34% assuming exercise of all 8,142,858 share purchase warrants held by Blizzard. Immediately prior to the participation in the private placement, Blizzard had ownership and control of 19,657,858 common shares and 6,142,858 share purchase warrants of Goldbank, representing approximately 16.39% of the issued and outstanding common shares of Goldbank on a non-diluted basis and 20.47% when assuming exercise of all 6,142,858 warrants held by Blizzard. Immediately after the closing of the private placement, Blizzard had ownership and control of 21,657,858 common shares and 8,142,858 share purchase warrants of Goldbank, representing approximately 15.48% of the issued and outstanding common shares of Goldbank on a non-diluted basis and 20.13% when assuming exercise of all 8,142,858 warrants held by Blizzard. Blizzard's purchase of securities in the private placement was made for investment purposes. Blizzard may in the future wish to increase or decrease its shareholdings in Goldbank as circumstances warrant.
