BLIZZARD FINANCE CORP. - EARLY WARNING NEWS RELEASE

On Feb. 6, 2025, Blizzard Finance Corp. disposed of ownership of 8,205,569 common shares of Goldbank Mining Corp. at a deemed price of 20 cents per share for total deemed proceeds of $1,641,113.93 through a private transaction. The disposition was made in settlement of a payment of $1,641,113.93 due to be made by Blizzard pursuant to a settlement agreement entered into by Blizzard, further particulars of which can be found in Blizzard's news release of Feb. 6, 2025.

Prior to the disposition, Blizzard had ownership and control of 21,657,858 common shares and 8,142,858 share purchase warrants of Goldbank, representing approximately 11.28 per cent of the issued and outstanding common shares of Goldbank on a non-diluted basis and 14.89 per cent when assuming exercise of all 8,142,858 warrants held by Blizzard. The disposition resulted in Blizzard having ownership and control, directly and indirectly, of 13,452,289 common shares and 8,142,858 share purchase warrants of Goldbank, representing approximately 7.01 per cent of the issued and outstanding common shares of Goldbank on a non-diluted basis, a decrease of approximately 4.27 per cent, and 10.79 per cent assuming exercise of all 8,142,858 warrants held by Blizzard, a decrease of approximately 4.10 per cent.

Blizzard's disposition was made for business reasons. Blizzard may, in the future, wish to increase or decrease its shareholdings in Goldbank as circumstances warrant. Such circumstances may include, but are not limited to, compliance with applicable securities laws, general market and economic conditions, business prospects of Goldbank, and investment and business opportunities available to Blizzard.
