GOLDEN RAPTURE MINING ISSUES SHARES FOR DEBT

Further to the news release dated Sept. 20, 2024, Golden Rapture Mining Corp. has issued 480,000 common shares at a deemed price of five cents per share to the president of the company as payment of debt in the aggregate amount of $24,000 to settle an amount owed by the company for unpaid director services.

Accordingly, the issuance of the debt shares to the directors constitutes a related-party transaction as this term is defined in Multilateral Instrument 61-101 (Protection of Minority Securityholders in Special Transactions). The directors of the company, acting in good faith, determined that the fair market value of the debt shares being issued pursuant to the shares-for-debt transaction and the consideration being paid are reasonable. The company intends to rely on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101 as neither the fair market value of the debt shares nor the debt exceeds 25 per cent of the company's market capitalization.

All securities issued in connection with the debt settlement will be subject to a statutory hold period expiring four months and one day after the date of issuance, as set out in National Instrument 45-102 (Resale of Securities).
