GOOD GAMER CLOSES UPSIZED NON-BROKERED PRIVATE PLACEMENT

Good Gamer Entertainment Inc. has closed its previously announced non-brokered private placement, as described in its news releases dated July 2, 2026, Aug. 10, 2026, and Aug. 14, 2026.

Pursuant to the offering, the company issued an aggregate of 4,774,664 units of the company at a price of 7.5 cents per unit for aggregate gross proceeds of $358,099.

Each unit consists of one common share in the capital of the company and one transferable common share purchase warrant. Each warrant entitles its holder to purchase one common share at a price of 9.5 cents per warrant share for a period of 24 months from the closing date of the offering.

The gross proceeds from the offering will be used by the company for general working capital.

In connection with the offering, the company paid a finder's fee to one arm's-length finder, consisting of $5,319.99 in cash and 70,933 finder's warrants. Each finder's warrant is exercisable to acquire one common share at a price of 7.5 cents per share for a period of 24 months from the closing date, on the same terms as the warrants. The finder's fee remains subject to the acceptance of the TSX Venture Exchange.

All securities issued in connection with the offering, including the finder's warrants, are subject to a statutory hold period of four months and one day from the closing date, expiring on Dec. 21, 2026, in accordance with applicable securities laws. The offering remains subject to receipt of final approval from the TSX Venture Exchange.
