GEOLGICA SIGNS DEFINITIVE AGREEMENT FOR SALE OF LINCOLN PLACER GOLD CLAIMS

August 5, 2026 - Geologica Resource Corp. ("Geologica" or the "Company") (CSE:GRCM; FRANFURT: 862) is pleased to announce the company has entered into a definitive agreement to sell the Lincoln Placer Gold claims.

Geologica Subsidiary LPGC Mining Corp. (the "Seller") has entered into definitive agreement dated July 30, 2026, (the "Sale and Purchase Agreement") to sell a 100% interest in placer mining claims in the Atlin mining district of British Columbia. The placer claims, colloquially known as the Lincoln Claim, Atlin Mining Division, located in or about Atlin, British Columbia Canada, is comprised of the claim listed below totalling 471.87 hectares (the "Property", "Lincoln Property" or "Lincoln Creek").

The terms of the Sale and Purchase Agreement specify that the Purchaser pay to the Seller $100,000 on entering into the Sale and Purchase Agreement. Upon receipt of the $100,000 payment, and execution of the Sale and Purchase Agreement, the Seller shall transfer the Property to the Issuer subject to the agreed 2% NSR and any other terms set out in the Sale and Purchase Agreement.

Pursuant to the Sale and Purchase Agreement, the Purchaser and Seller acknowledge that, on commencement of commercial production, either from mining operations conducted by the Purchaser, a third-party lease or under a streaming agreement or other business arrangement the gold production from the Property will be subject to a net smelter royalty (NSR) of 2% payable to the Seller. Commercial production does not include bulk sampling or any gold production from exploration drilling or trenching or other exploration work. The Purchaser may purchase 1% of the NSR for $1,000,000 paid to the Seller up to 6 months prior to the beginning of commercial production and the remaining 1% on terms to be decided.

The company entered into the sale of the Lincoln Property as it was determined to be a non-core asset and the proceeds from the sale would improve the Company's working capital balance.
