The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced Jan. 17, 2024.

Number of shares:  6.7 million shares

Purchase price:  10 cents per share

Warrants:  3.35 million share purchase warrants to purchase 3.35 million shares

Warrant exercise price:  15 cents for a two-year period

Number of placees:  14 placees

Finder's fee:  $35,820 cash and 358,200 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 15 cents for period of two years from the date of issuance.

The company issued a news release on Feb. 12, 2024, confirming the closing of the private placement.
