The TSX Venture Exchange has accepted for filing the company's proposal to issue 10.5 million shares to settle outstanding debt for $489,388 (U.S.).

Total non-arm's-length-party involvement:  $489,388 (U.S.), 10.5 million shares at 6.5 cents (one party)

The company shall issue a news release when the shares are issued and the debt extinguished.
