HAPBEE PROVIDES UPDATE ON FAILURE-TO-FILE CEASE TRADE ORDER

Further to Hapbee Technologies Inc.'s news release of May 11, 2026, the filing of the company's audited annual consolidated financial statements for the year ended Dec. 31, 2025, along with the related management's discussion and analysis (MD&A), and certification of annual filings, remains delayed. This delay has also resulted in a corresponding delay in the filing of the company's interim financial statements and MD&A for the quarter ended March 30, 2026, which were due May 30, 2026.

The company continues to work diligently with its accounting staff and external auditor to complete the audit, and expects to file the required documents, as well as the interim financial statements, as soon as practicable. The failure-to-file cease trade order (FFCTO) issued by the British Columbia Securities Commission, as the company's principal regulator, will remain effective until these documents are filed. The company expects that the FFCTO will be lifted promptly upon the completion of these filings and it will provide further updates as they become available. Until that time, trading in the company's securities in Canada, including trades in its common shares through the TSX Venture Exchange, will remain halted.
