The TSX Venture Exchange has accepted for filing an amended and restated option and joint venture agreement dated Aug. 26, 2025, pursuant to which Hayasa Metals Inc. granted to Teck Resources Ltd. its sole option to acquire an 80-per-cent interest in Mendia Resources LLC. Mendia owns the Vardenis copper-gold project in Armenia.
The initial option (to earn a 70-per-cent interest) is exercisable by Teck upon: (i) Teck incurring an aggregate of $15-million (U.S.) in expenditures (as defined below) by Dec. 31, 2029, which includes the completion of an aggregate of 4,300 metres of diamond drilling on the Vardenis property (3,000 metres by Dec. 31, 2025, and 1,300 metres by Oct. 31, 2026); and (ii) Teck making a cash payment of $100,000 (U.S.) to the 99-per-cent holder of Mendia on or before Dec. 3, 2027 (completed).
The transaction is arm's length and there are no finders' fees on the transaction.
