PROPOSED PRIVATE PLACEMENT

Hampton Financial Corp. proposes to sell 700,000 subordinate voting shares, at the price of 50 cents per share for aggregate proceeds of $350,000, to its chief executive officer, Peter Deeb, in a non-brokered private placement transaction. Proceeds from the private placement will be used for working capital purposes.

The transaction constitutes a related-party transaction as defined in Multilateral Instrument 61-101 (Protection of Minority Security Holders in Special Transactions), but is exempt from the shareholder approval and formal valuation requirements under MI 61-101 as the fair market value of the securities to be issued will be less than 25 per cent of the company's market capitalization.

The transaction is subject to approval by the TSX Venture Exchange.
