PROPOSED PRIVATE PLACEMENT

Hampton Financial Corp. has closed the non-brokered private placement of 700,000 subordinate voting shares, at the price of 50 cents per share, for aggregate proceeds of $350,000. The acquiror is chief executive officer Peter Deeb. This was announced in the company's press release of Jan. 30, 2024.
