HAMPTON FINANCIAL CORPORATION ANNOUNCES THE COMPLETION OF A NON-BROKERED PRIVATE PLACEMENT OF DEBENTURES

Hampton Financial Corp. has closed a non-brokered private placement of debentures in the principal amount of $3-million.

The debentures will mature five years and one day after the issue date and will bear interest at the rate of 11 per cent per annum, payable quarterly in arrears on the last day of March, June, September and December in each year until the maturity date. The first interest payment will be made at the end of the first calendar quarter following the closing date and will consist of interest accrued from and including the closing date to the initial interest payment date. Interest will be payable in cash only and will cease to accrue on the maturity date.

Proceeds of the offering will be used, in part, to retire the principal amount of a maturing convertible debenture, and the balance for working capital and general corporate purposes.

In connection with the closing of the offering, the company paid a finder's fee of 5 per cent in cash on the gross proceeds of the offering.
