The TSX Venture Exchange has accepted for filing documentation with respect to an exclusivity, share option and acquisition agreement dated March 3, 2025, as amended Oct. 22, 2025, among Helius Minerals Ltd. and the holder of a 75-per-cent interest in the Serra Pelada project, in connection with the proposed acquisition by the company of the Serra Pelada project, Brazil.

The company can acquire a 75-per-cent interest in the project from the vendor following the June 30, 2026, notice of exercise of its option to acquire the project. Consideration includes $100,000 (U.S.) and $100,000 (Canadian) in cash payments, 4,134,389 special warrants that convert into common shares two years after closing (subject to early conversion in certain instances), 64,433 warrants exercisable at a price of $3 (Canadian) per share for a period of five years, and the assumption of $4-million (U.S.) in debt. The debt can be converted into common shares of the company at the election of the holder, on a one-time basis, at a price of $3 (Canadian) per share.

In addition, the company has agreed to settle outstanding debt by issuing 309,487 shares in settlement of certain debts at a price of $6 (Canadian) per share.
