HYBRID POWER SOLUTIONS INC. ANNOUNCES NON-BROKERED PRIVATE PLACEMENT FOR GROSS PROCEEDS OF UP TO CDN$1,500,000

Hybrid Power Solutions Inc. has arranged a non-brokered private placement of up to 30 million units at a price of five cents per unit for gross proceeds of up to $1.5-million. Each unit will consist of one common share in the capital of the company and one common share purchase warrant.

Each warrant will entitle the holder to acquire one additional common share at an exercise price of eight cents for a period of two years from the closing date of the offering.

The warrants will be subject to an acceleration clause whereby, if the closing price of the company's common shares on the Canadian Securities Exchange exceeds 15 cents for 20 consecutive trading days, the company may accelerate the expiry date of the warrants to a date that is not less than 30 days following the date of a news release announcing the acceleration.

All securities issued under the offering will be subject to a statutory hold period of four months and one day from the date of issuance, in accordance with applicable Canadian securities laws.

The company may pay finders' fees to eligible finders in accordance with the policies of the CSE.

The offering is expected to close on or about June 12, 2026, subject to customary closing conditions, including receipt of all necessary regulatory approvals, including the approval of the CSE.

The net proceeds of the offering will be used for general working capital and corporate purposes.
