IRVING RESOURCES REPORTS UPSIZED PRIVATE PLACEMENT

Further to the news release of Jan. 22, 2026, Irving Resources Inc. has upsized its non-brokered private placement from $2-million to $4-million. The gross proceeds, which are intended to be applied toward resource exploration properties in which Irving holds an interest and toward general working capital, will be raised by the issuance of units at a price of 25 cents per unit. Each unit will consist of one common share of the company and one-half of one transferable share purchase warrant, with each warrant entitling the holder to purchase one share for a period of three years from the date of issuance at a price of 35 cents per share.

All securities issued by the company under the private placement will be subject to a four-month hold period. Finders' fees may be payable in connection with some subscriptions. The private placement may close in tranches.
