DYNAMITE BLOCKCHAIN CLOSES STRATEGIC ACQUISITION OF KASYA TOKENS

Dynamite Blockchain Corp. has completed the transaction contemplated under its asset purchase agreement, dated Oct. 2, 2025, through the acquisition of 150 million Kasya utility tokens from an arm's-length vendor. Please see the company's news release dated Oct. 2, 2025, for further information respecting the agreement and the acquisition.

Pursuant to the agreement, Dynamite has acquired 150 million Kasya tokens in exchange for 6.3 million common shares, issued at a deemed price of 7.5 cents per share, for a total deemed valuation of $472,500. The acquired Kasya tokens are fully vested at close. During the negotiation period, the market price of Kasya was approximately 0.23 U.S. cent per token, as quoted on the decentralized exchange where it trades.

As of the date of this news release, the Kasya token price was 0.25 U.S. cent, delivering an immediate uplift to corporate net asset value at close. The consideration shares are subject to resale restrictions expiring four months and one day after issuance.
