Mr. Nader Vatanchi reports

KEON CAPITAL INC. ANNOUNCES ACQUISITION OF CRUSADER PROPERTY, CLOSING OF PRIVATE PLACEMENT, AND REACTIVATION ON TSX VENTURE EXCHANGE

Keon Capital Inc., further to its news releases of June 12, 2026, July 29, 2026, and Oct. 27, 2026, has satisfied the requirements of the TSX Venture Exchange for reactivation from the NEX. Accordingly, effective Nov. 9, 2026, the company will transition from the NEX board to become a Tier 2 mining issuer on the TSX-V under the symbol KEON.

Keon previously entered into an option agreement dated as of June 5, 2026, with AJMining Ventures Ltd., pursuant to which Keon was granted the option to earn a 100-per-cent interest in and to five mineral licences prospective for uranium in Northern Saskatchewan, Canada, covering approximately 2,771 hectares (the Crusader property) by: (1) paying $12,500 to the optionor; and (2) issuing an aggregate of seven million Keon common shares to or as directed by the optionor. Keon has now successfully exercised its option under the option agreement and has acquired a 100-per-cent interest in and to the Crusader property. In connection with its acquisition of the Crusader property, Keon has filed a technical report dated Aug. 11, 2026, titled "Technical Report for the Crusader Property, Southwest Athabasca Basin, Northern Saskatchewan, Canada." The technical report was prepared in accordance with National Instrument 43-101, Standards of Disclosure for Mineral Projects, and is available under the company's SEDAR+ profile.

Each share issued under the option agreement is subject to: a four-month hold period expiring March 5, 2027, in accordance with applicable securities laws and TSX-V policies; and a contractual six-month hold period expiring May 5, 2027, which will run concurrently. The company did not pay any finders' fees in connection the option agreement or its acquisition of the Crusader property.

In connection with the acquisition of the Crusader property, Keon closed a non-brokered private placement for gross proceeds of $750,000 through the issuance of 10 million units at a price of 7.5 cents per unit. Each unit comprises one share and one share purchase warrant, exercisable for an additional share at an exercise price of 10 cents for two years from the date of issuance.

The company paid aggregate finders' fees of $8,331 in connection with the financing. Securities issued under the financing are subject to a four-month hold period expiring March 5, 2027, in accordance with applicable Canadian securities laws. The company intends to use the proceeds of the financing to conduct exploration on the Crusader property and for general working capital.
