UNIVERSAL DIGITAL INC. ANNOUNCES EXTENSION OF LONG STOP DATE FOR PROPOSED PQCEE ACQUISITION

Universal Digital Inc. and pQCee Pte. Ltd. have agreed in writing to extend the long stop date under their previously announced share exchange agreement from Sept. 30, 2026, to Dec. 30, 2026. The agreement provides for the company's acquisition of all of the issued and outstanding shares of pQCee.

The extension provides additional time to complete the concurrent financing and satisfy the remaining closing conditions for the transaction. All other terms and conditions of the agreement remain unchanged.
